DataPulse Web Interactive and DataPulse API Services
Effective Date: March 25, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the NoNoNames and DataPulse web interactive services, and the DataPulse API data search and lookup Services operated in the datapulse.global and nononames.global Internet domains (collectively, the “Services”) provided by DataPulse, LLC (“DataPulse,” “we,” “us,” or “our”). By accessing or using the Services, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Definitions
- NoNoNames Service: A web-based platform for monitoring and identifying potentially infringing or confusingly similar domain names to protect your brand, including tools for reviewing domains, prioritizing actions, and exporting data.
- DataPulse API Services: API-based data search and lookup services providing access to Internet infrastructure data, including technical characteristics, web content, registration data, and a variety of search, similarity, and analysis functions. To remove any doubt, all MCP services are DataPulse API Services.
- AI Features: any features or functionality of the Services which utilizes artificial intelligence (including but not limited to machine learning or large language model processing).
- User: Any individual or entity accessing or using the Services under a valid account or subscription.
- Content: Any data, reports, screenshots, or information generated, accessed, or processed through the Services, excluding AI Output.
- AI Output: Any output generated by AI Features in response to Input submitted by a User, as further described in Section 4.5.
- API Key: A unique identifier provided to Users for accessing the DataPulse API Services.
- API Credits: An accounting mechanism to allow us to meter access to DataPulse API data and services.
- MCP Credits: An accounting mechanism to allow us to meter access to DataPulse AI Features.
- Organization: A person or legal entity recognized in one or more jurisdictions, such as a company, non-governmental organization, or government entity. Organizations may, for example, be your employer, client, or customer.
- Discount Code: A one-time promotional code issued by DataPulse that reduces the purchase price of eligible Services at checkout, subject to the restrictions in Section 6.2.
- Label: a search term which is compatible with the Domain Name System, which reflects a company name, trademark, or other sequence of characters of interest to the User.
- Derivative Products: Any product, service, dataset, report, application, or output that incorporates, is substantially derived from, or is based upon Content generated by the Services.
2. Acceptance of Terms
By registering for an account or accessing the Services, you agree to these Terms, our Privacy Policy, and any additional policies referenced herein. You represent and warrant that:
- you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater;
- you have the legal capacity to enter into a binding legal agreement;
- if you are using the Services on behalf of an Organization, you have the authority to bind that Organization to these Terms; and
- your use of the Services does not violate any applicable law or regulation.
We do not knowingly collect personal information from or provide services to anyone under 18. If we learn that a user is under 18, we will terminate their account and delete associated data.
3. Services Description
3.1 NoNoNames Service
The NoNoNames Service provides, based on a requested DNS-compatible label:
- Real-time monitoring of potentially infringing or similar domain names using advanced discovery technology.
- Weekly revisits to identified domains to refresh content and detect changes (e.g., payment capabilities, credentials collection).
- Screenshots and technical data about domains, retained for at least 12 months from capture.
- Tools to export data for investigation or follow-up.
We strive to detect relevant domains, but cannot guarantee that every potentially infringing or similar name will be identified. NoNoNames monitoring begins within 24 hours of successful payment processing and entry of a monitored term or terms by the User into the NoNoNames interface.
3.2 DataPulse API Services
The DataPulse API Services allow Users to:
- Query Internet infrastructure data via API endpoints to quickly discover Internet domains, IP addresses, and other technical infrastructure data
- Search for Internet entities via API endpoints based on similarity between technical infrastructure data characteristics
- Request enrichment of data from public sources
- Integrate data into User applications or workflows, subject to these Terms.
- Access to DataPulse API Services are metered on a daily use basis, running from 00:00:00 to 23:59:59 Universal Coordinated Time (UTC).
- DataPulse API Services also have rate limits, specific to what service(s) you’ve signed up for.
3.3 DataPulse AI Features
The DataPulse AI Features allow users to interact with DataPulse datasets that undergo analysis and assessment by artificial intelligence.
- Interact with DataPulse datasets using mechanisms optimized for large language models.
- Receive analytical products based on AI review of DataPulse-collected data.
- Interact with a DataPulse-operated chatbot to interrogate our datasets.
- Access to DataPulse AI Features are metered on a daily use basis, running from 00:00:00 to 23:59:59 Universal Coordinated Time (UTC).
- DataPulse AI Features also have rate limits, specific to what service(s) you’ve signed up for.
3.4 Service Availability
We aim to ensure the Services are available but do not guarantee uninterrupted access. Maintenance, upgrades, or modifications may temporarily affect availability, as may upstream service issues in networks, data centers, and cloud service providers (including commercial AI Large Language Model providers) involved in the provision and delivery of the Services.
DataPulse does not guarantee that every domain name or information element will be identified at the time you request it. The Internet is a highly dynamic environment, and detection delays are sometimes unavoidable.
4. Generative AI Terms
4.1 AI Features
Some Services include AI Features as defined in Section 1. By using AI Features, you agree to the additional terms in this section, which supplement (and in case of conflict, supersedes) other provisions of these Terms with respect to AI Features. Notwithstanding the foregoing, the monetary limitation of liability set forth in Section 11 applies in full to all claims relating to AI Features and is not displaced by this Section 4.
4.2 Acceptable Use of AI Features
You agree not to use AI Features to:
- Generate content that is illegal, harmful, defamatory, or infringes third-party rights.
- Attempt to reverse-engineer, extract, or replicate the underlying models or training data.
- Circumvent safety filters, moderation systems, or intended limitations of the AI Features.
- Submit inputs that contain personal data of third parties in violation of applicable privacy laws.
4.3 AI Output Disclaimer
AI Features may produce inaccurate, incomplete, or misleading outputs. You are solely responsible for reviewing, validating, and determining the suitability of any AI-generated output before relying on or acting upon it. DataPulse makes no representations or warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs. DataPulse does not represent or warrant that: (a) any AI Output is free of third-party content or materials; or (b) any AI Output will not infringe third-party intellectual property rights. AI Outputs are generated through machine learning processes and are not tested, verified, endorsed, or guaranteed to be accurate, complete, or current by DataPulse. You should independently review and verify all AI Outputs as to their appropriateness for any use case or application. The warranty disclaimers and limitations of liability in Section 11 apply in full to the AI Features. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, DATAPULSE WILL HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR DECISIONS MADE BASED ON, OR FOR ANY USE OF, AI OUTPUT, OR FROM YOUR OR ANY THIRD PARTY’S RELIANCE ON AI OUTPUT.
4.4 Input Data
You are solely responsible for any data, prompts, or inputs you submit to AI Features (“Input”). You warrant that your Input does not violate applicable law or third-party rights. You grant DataPulse a non-exclusive license to process Input as necessary to provide the AI Features.
4.5 AI-Generated Content Ownership
To the extent permitted by applicable law, AI Outputs generated by AI Features in response to your Input are provided for your use subject to these Terms. DataPulse does not claim ownership of AI Output, but does not warrant that AI Output is free of third-party intellectual property claims. You assume all risk associated with your use of AI Output.
4.6 No High-Risk Use
AI Features are not designed for, and you agree not to use them in, high-risk or safety-critical applications, including but not limited to medical diagnosis, legal advice, financial advice, or any application where errors could result in harm to persons or property.
5. Account and Access
5.1 Registration
To use the Services, you must create an account and provide accurate information (e.g., name, email, billing details). You are responsible for maintaining the confidentiality of any account or access credentials. Your use of the services gives consent for DataPulse to communicate with you via email and/or telephone for the legitimate business purposes of communicating about transaction information, term changes, and non-marketing service notifications.
5.2 Authorized Use
You may only use the Services for lawful purposes and in accordance with these Terms. You agree not to:
- Engage in fraudulent, abusive, or illegal activities.
- Reverse-engineer, decompile, or attempt to derive source code from the Services.
- Share, resell, or distribute access to the Services without our prior written consent.
- Circumvent any technical or policy controls in place over the Services.
5.3 API-Specific Restrictions
For DataPulse API Services, you agree to:
- Use the API Key solely for authorized purposes and not share it with third parties.
- Comply with rate limits, usage quotas, and technical documentation provided by DataPulse.
- Not use the API to harvest data for resale, bulk distribution, or unauthorized purposes.
5.4 NoNoNames User Data Retention
- NoNoNames screenshots and domain data are retained for at least 12 months.
- Labels monitored by NoNoNames remain associated with accounts for the duration of the contracted service and at least 30 days after termination.
- Data stored in any accounts with no active subscriptions may be purged after 30 days.
6. Fees and Payment
6.1 Free Trials
DataPulse may offer free time-limited trial access to its Services. No monetary charges apply during a free trial. To avoid charges, you must cancel at least seven (7) days before the trial expires via online account management interfaces or by contacting support@datapulse.global. If not canceled, your credit card will be charged for the subscription upon trial expiration.
NoNoNames Trials may include a “first 30 days free” trial. If offered, this trial access is activated upon enrollment.
Recipients of “first 30 days free” NoNoNames trials agree to receive email communications from DataPulse and to respond to questions about quality, user experience, and high-level use case information. Users may opt out of these communications by contacting support@datapulse.global.
6.2 Discount Codes
DataPulse may offer one-time cost reduction codes (“Discount Codes”), which are redeemable only in our web store at www.datapulse.global. All discount codes are:
- Limited to listed products and services.
- Valid only before the expiration date (as seen in U.S. Central Time (CST/CDT)).
- Redeemable only in our online storefront at checkout for covered online purchases.
- Discounts apply to first payments only.
- Limited to one per customer, non-transferrable, and not combinable with any other offers.
- Discounts apply to item price only, excluding taxes and shipping.
- Void if copied, sold, or used fraudulently.
- All discount codes are subject to availability at DataPulse’s sole discretion.
We reserve the right to cancel or modify discount code offers at any time.
You acknowledge that trials reliant on discount codes require a valid credit card on file. If you have enrolled in a recurring service (e.g., monthly or annual subscription), your credit card will be charged automatically upon renewal unless you cancel before the renewal date in accordance with Section 6.3. DataPulse will notify you of upcoming renewals by email.
Users of Discount Codes agree to receive user satisfaction survey email messages from DataPulse,and agree to answer questions about quality, user experience, and generalized, non-identifying use cases.
If there is any question as to eligibility, DataPulse is the sole arbiter of whether these rules apply and how to apply them.
6.3 Automatic Renewal
DataPulse services automatically renew on the billing cycle of the specific product/service. All services have a start date and an end date. Services will be provided on or after the start date and before the end date.
Annual subscriptions (including NoNoNames) renew automatically, with payment charged on the anniversary of the subscription start date. Where a free trial period was offered and utilized, the subscription start date is the date of trial expiration.
Cancellation of renewal must be received at least 7 days before your service end date to avoid charges. You may cancel renewal in our web store or by email to support@datapulse.global.
6.4 Subscription Fees
Access to the Services requires payment of subscription fees, as outlined in your agreement or on our pricing pages. All services are paid in advance.
6.5 API Usage Fees
DataPulse API Services may incur usage-based fees based on API calls, data volume, or other metrics. You are responsible for monitoring your API usage to avoid unexpected charges.
6.6 Payment Terms
Fees are paid in advance via credit card or other designated methods. We may immediately suspend or terminate access for non-payment in conjunction with emailed notice. Fees are non-refundable except as specified in Section 8.
6.7 Price Changes
We will notify you of price changes via email at least 30 days before your renewal or billing cycle. To cancel or modify your subscription due to a price change, contact support@datapulse.global within 30 days of the notice.
7. Data and Intellectual Property
7.1 User Data
You retain ownership of data you submit (e.g., brand names for monitoring, domain names being queried in the API, etc.). You grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such data to provide and improve the Services. For the avoidance of doubt, DataPulse shall not use User Data to train AI models.
7.2 Service Content
All Content generated by the Services (e.g., domain reports, API data, screenshots), excluding AI Output (as defined in Section 4.5), is owned by DataPulse or its licensors and protected by U.S. and international copyright laws. DataPulse grants you a limited, non-transferable, non-sublicensable license to use such Content for your internal business purposes, subject to these Terms.
AI Output is not claimed by DataPulse. To the extent you have any right, title, or interest in AI Output, you may use it for your internal business purposes, subject to these Terms and the terms of Section 4.5.
7.3 Intellectual Property
The Services, including software, APIs, interfaces, and documentation, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Services without our prior written consent.
7.4 Commercial Use and Derivative Products
The licenses granted in Section 7.2 are limited to your internal business purposes. No right is granted — expressly or by implication — to resell, sublicense, redistribute, or otherwise commercialize Content, or to incorporate Content into any Derivative Product offered to third parties, without a separate written license agreement with DataPulse.
For the avoidance of doubt, the following activities each require a separate written license from DataPulse and may be subject to additional fees:
- incorporating Content or AI Output into any product, service, report, or dataset made available to customers, clients, or other third parties, whether for compensation or free of charge;
- using Content or AI Output to train, fine-tune, benchmark, or evaluate any machine learning model or AI system;
- bundling or repackaging Content or AI Output as part of a data feed, intelligence service, or similar offering;
- making Content or AI Output available via API or other programmatic interface to third parties; or
- any other use of Content or AI Output outside the scope of your own internal business purposes.

7.4.1 Licensed Professional Services Exemption
Notwithstanding the restrictions in Section 7.2 and 7.4, licensed professionals (including but not limited to attorneys, accountants, consultants, engineers, architects, and other licensed practitioners) may incorporate Content or AI Output into work products created specifically for and delivered directly to their clients as part of a bona fide professional services engagement, provided that all of the following conditions are met:
- Direct Client Relationship: The work product must be created pursuant to a direct professional services agreement between the licensed professional and the end client;
- Custom Work Product: The Content or AI Output must be incorporated into a custom deliverable (such as a legal brief, financial analysis, engineering report, or consulting recommendation) that is substantively tailored to the specific client’s needs;
- No Redistribution Rights: The professional services agreement must not grant the client any right to redistribute, resell, sublicense, or otherwise transfer the Content or AI Output to third parties, or to extract the Content or AI Output from the work product for separate use;
- No Service Generation: The Content or AI Output may not be used to generate ongoing services, data feeds, or recurring deliverables to the client or any third party; and
- Professional Responsibility: The licensed professional remains responsible for ensuring the work product complies with all applicable professional standards, confidentiality obligations, and terms of this Agreement.
This exception does not authorize any use of Content or AI Output to create productized offerings, templated services, or any deliverable that could be sold or provided to multiple clients without substantial customization.
8. Product Delivery Dispute Resolution
8.1 Support
Contact our service desk at support@datapulse.global for any issues with the Services. Provide the question, parameters, billing email address, and approximate date/time the issue occurred to assist in resolving your issue.
8.2 Dispute Window
You may raise concerns about service delivery (e.g., failure to provide results) no later than four weeks after the date on which the service delivery failure first occurred. Issues raised outside this window are considered untimely, and we will not be liable for associated damages.
For subscription services, the failure is deemed to have first occurred on the date the problem is reported to support@datapulse.global, if the date of first occurrence cannot be otherwise determined
Failures to submit a cancellation request prior to an automatic renewal shall be deemed untimely unless you can show it was submitted prior to the automatic renewal occurring.
8.3 Resolution Process
For timed reporting products, if we fail to deliver results within the specified parameters (e.g., 24-hour monitoring start, weekly updates), we will:
- Attempt to re-run the results at no additional charge.
- If the second attempt fails, issue a pro-rated refund or, with your consent, attempt re-delivery.
- For services providing weekly reporting (NoNoNames), pro-rating is based on the number of weeks in the service agreement where results were unavailable.
- For services providing monthly reporting, pro-rating is based on the number of months in the service agreement where results were unavailable.
- For services providing daily reporting, pro-rating is based on the number of days in the service agreement where results were unavailable.
DataPulse is not responsible for outages or service degradation caused by third-party infrastructure or service providers outside DataPulse’s reasonable control, including cloud hosting providers, network carriers, DNS providers, or other upstream vendors.
For real-time products (APIs) paid by credit card, we will consider an outage to be confirmed and material if it meets all of the following criteria:
- DataPulse monitoring shows the service was down or unavailable;
- DataPulse and its upstream vendors are not blocking traffic from your IP address(es), credentials, or your API keys in response to real or perceived abusive behavior in violation of these terms, service-specific rate-limits, or service-specific restrictions;
- In DataPulse’s reasonable assessment, there is no third party interference with the provision of the Services (including but not limited to outages or disruptions in DNS, routing, our cloud providers supporting our provision of the Services. This includes without limitation computer intrusion, “hacking”, cybercrime, state-sponsored cyberattack, distributed or targeted denial of service, API query flooding, or any other way a third party might interfere with the normal operation of the Services);
- There is no scheduled outage of the service.
- In aggregate, that total period of time of the outage as measured by DataPulse monitoring sums to four (4) or more hours of outage within a calendar day;
- You have registered an outage report/complaint, including the billing email address, dates and times of failures, and the requested queries that failed. Your requested queries match logged services and are well-formed with respect to relevant published API specifications.
At DataPulse’s sole discretion, DataPulse may cancel the remainder of your real-time service agreement and issue you a pro-rated refund. Pro-rated refunds are calculated as follows: (Total fees paid for the current service agreement ÷ Total days in the service agreement) × Number of days remaining in the service agreement at the time of refund or termination.
Refunds and credits may take up to 30 business days to process.
8.4 Remedies
The remedies described in Section 8.3 — including re-issuance of results, pro-rated refund, or no-cost service extension — shall constitute your sole and exclusive remedy and DataPulse’s entire liability for any service delivery failure. Exhaustion of the process set forth in this Section 8 is a condition precedent to initiating any claim under Section 14. We reserve the right to refuse service to Users engaging in abusive dispute practices, including recurring disputes or contesting authorized charges outside this process .
8.5 Support Hours
Our support desk (including privacy, copyright, security, and dispute support) operates from 8:00 AM to 3:00 PM, Monday through Friday, US Central Time, excluding U.S. federal holidays and the weeks of New Year’s Day, Independence Day, Thanksgiving, and Christmas.
8.6 Support Language
DataPulse provides all support services in English only.
9. Data Privacy and Security
9.1 Privacy Policy
Our collection, use, and sharing of personal data are governed by our Privacy Policy, available at https://www.datapulse.global/legal/privacy. By using the Services, you consent to such processing.
9.2 Data Security
We implement industry-standard measures to protect the Services and your data. You are responsible for securing your account and API Key, as well as the security of any equipment not operated, directed, or managed by DataPulse to provide the Services. We are not liable for breaches caused by your failure to secure credentials, prevent the installation or use of malware on your systems, or any fault in your computing systems or software.
9.3 Data Transfers
As a global service, we may transfer data to jurisdictions outside your country, including the United States, in compliance with applicable data protection laws (e.g., GDPR, CCPA).
10. Copyright Infringement Claims
If you believe your copyrighted work has been infringed via the Services, notify copyright@datapulse.global.
Your emailed notice must include:
- Your contact information (address, phone, email).
- A description of the copyrighted work and the infringing material.
- A good-faith statement that the use is unauthorized.
- A physical or electronic signature of the copyright owner or authorized agent.
- A statement under penalty of perjury that the information is accurate.
We will respond to email notices within seven business days, subject to the support hours in Section 8.5.
11. Disclaimers of Warranties and Limitation of Liability
THE SERVICES, DATAPULSE.GLOBAL AND NONONAMES.GLOBAL WEBSITES, AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE THROUGH OR REFERENCING ANY DATAPULSE WEBSITE ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN A DATAPULSE MASTER SERVICE AGREEMENT AND/OR SERVICE ORDER.
DATAPULSE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF OUR WEBSITES, SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE), OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY DATAPULSE OR NONONAMES SITE, UNLESS OTHERWISE SPECIFIED IN A WRITTEN AND MUTUALLY EXECUTED DOCUMENT BETWEEN YOU AND DATAPULSE.
DATAPULSE DOES NOT WARRANT THAT ANY COMPONENTS ASSOCIATED WITH THE SERVICE ARE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THAT EXPRESSLY INCLUDES BUT IS NOT LIMITED TO THE DATAPULSE AND NONONAMES WEBSITES; INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE), OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE FROM ANY DATAPULSE OR NONONAMES SITE; ITS SERVERS; OR EMAIL SENT FROM OR ON BEHALF OF THE SERVICE.
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, DATAPULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAPULSE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE DATAPULSE OR NONONAMES WEBSITES, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE DATAPULSE OR NONONAMES WEBSITES, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES UNLESS OTHERWISE SPECIFIED IN A MUTUALLY EXECUTED AGREEMENT BETWEEN YOU AND DATAPULSE.
Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATAPULSE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES — REGARDLESS OF THE LEGAL THEORY, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DATAPULSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You understand and expressly agree that any and all use of DataPulse and NoNoNames sites, Services, and data provided by the same is at your own, sole risk.
12. Indemnification
You agree to indemnify, defend, and hold harmless DataPulse, its affiliates, and their respective officers, directors, employees, agents, licensors, and successors from and against any and all third-party claims, demands, actions, losses, liabilities, damages, judgments, settlements, fines, penalties, and reasonable attorneys’ fees and costs (collectively, “Claims”) arising out of or relating to: (a) any act of negligence or misconduct associated with your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party intellectual property, privacy, or other rights; or (e) any data, content, or materials you submit to or through the Services.
DataPulse reserves the right, at its own expense, to assume exclusive control of the defense and settlement of any Claim subject to indemnification by you. You may not settle any Claim that imposes any obligation, restriction, or liability on DataPulse without DataPulse’s prior written consent, which will not be unreasonably withheld. You agree to cooperate fully with DataPulse in the defense of any such Claim, including by providing timely access to relevant information, documents, and personnel reasonably requested by DataPulse or its counsel. DataPulse will use commercially reasonable efforts to notify you promptly upon becoming aware of any Claim for which it intends to seek indemnification under this Section, provided that failure to give timely notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by the delay.
13. Termination
13.1 Termination by You
You may cancel your subscription or terminate your account at any time via the account management interface or by contacting support@datapulse.global. No refunds will be issued for unused subscription periods, except as provided in Section 8.
13.2 Termination by Us
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in activities that harm the Services or other Users.
13.3 Effect of Termination
Upon termination, you must cease using the Services, and any licenses granted under these Terms will terminate. We may delete your data after 30 days, subject to applicable laws.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Chicago, Illinois, under the rules of the American Arbitration Association, except for claims eligible for small claims court. You waive any right to participate in a class action or class arbitration. If this waiver is found unenforceable in any jurisdiction, that portion may be severed without affecting the remainder of the arbitration agreement. Any remaining court-eligible matters must be brought in the Illinois Circuit Court of Cook County.
15. Changes to Terms
We may update these Terms by posting the revised version on our website. Continued use of the Services after such changes constitutes your acceptance of the updated Terms. We will notify you of material changes via email or site notices.
16. Export Controls and Sanctions
The Service is operated from the United States. You may not use, export, re-export, or transfer the Service or any underlying technology except as authorized by United States law, the laws of the jurisdiction in which you obtained access to the Service, and any other applicable laws and regulations.
Without limiting the foregoing, you represent and warrant that:
- you are not located in, organized under the laws of, or a resident of any country or territory that is the subject of comprehensive U.S. sanctions listed in the official sanctions list of the Office of Foreign Assets Control;
- you are not identified on the U.S. Treasury Department’s Specially Designated Nationals and Blocked Persons List (SDN List), the U.S. Commerce Department’s Denied Persons List or Entity List, or any other applicable restricted party list;
- you are not owned or controlled by, or acting on behalf of, any person or entity described in (1) or (2); and
- you will not permit access to the Service by any person or entity described in (1), (2), or (3).
We reserve the right to terminate or suspend access immediately, without notice, if we reasonably believe you are in violation of this section or any applicable export control or sanctions law.
17. Miscellaneous
- Electronic Communications: You consent to receive communications from us electronically, including transaction notifications, agreements, notices, and disclosures, which satisfy any legal requirement for written communication.
- Entire Agreement: These Terms, the Privacy Policy, and any referenced policies constitute the entire agreement between you and DataPulse. To the extent of any conflict with a fully executed DataPulse Master Service Agreement and Service Order, the Master Service Agreement and Service Order shall control.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our consent. We may assign them to an affiliate or successor in a merger or acquisition.
- Waiver: No failure or delay by DataPulse in exercising any right or enforcing any provision of these Terms shall constitute a waiver of that right or provision, nor shall any waiver of a breach constitute a waiver of any subsequent breach.
- Force Majeure: DataPulse shall not be liable for any failure or delay in performance to the extent caused by circumstances beyond DataPulse’s reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, labor disputes, cyberattacks, or failures of third-party infrastructure providers. DataPulse will use commercially reasonable efforts to resume performance as soon as practicable.
- Survival: The following provisions survive any expiration or termination of these Terms: Section 1 (Definitions), Section 4.3–4.6 (AI Output Disclaimer, Input Data, AI Content Ownership, No High-Risk Use), Section 7 (Data and Intellectual Property), Section 8 (Product Delivery Dispute Resolution), Section 11 (Disclaimers of Warranties and Limitation of Liability), Section 12 (Indemnification), Section 14 (Governing Law and Dispute Resolution), and this Section 17.
